EXPLANATORY NOTE

On October 5, 2026, Logistic Properties of the Americas (“LPA”) announced an agreement to sell stabilized, income-producing facilities that currently comprise Parque Logístico Calle 80 (“Calle 80”) in Bogotá, Colombia, for COP 500 billion (approximately US$152 million, based on an exchange rate of COP 3,300 per U.S. dollar) in an all-cash transaction.

The information in this Form 6-K shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act.
